1. Acceptance of Terms

By accessing or using AccuSeat ("Service", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including sports teams, ticket sales representatives, and end customers ("you" or "your").

2. Description of Service

AccuSeat provides a platform for sports teams and venues to share 360° seat view photographs with prospective ticket buyers. The Service includes:

• 360° panoramic seat photography viewing
• Shareable links for seat comparisons
• SMS/MMS messaging for seat sharing
• Analytics and engagement tracking
• Administrative tools for venue management

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. SMS Messaging Consent

You may receive messages including:

• Seat view links and comparisons
• Follow-up communications about your inquiry
• Callback confirmations
• Promotional offers (only with explicit opt-in)

To opt out: Reply STOP to any message. Reply HELP for assistance. Carriers are not liable for delayed or undelivered messages.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages (spam) to individuals who have not consented
• Harass, abuse, or harm another person
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious content or viruses
• Attempt to gain unauthorized access to the Service

6. Intellectual Property

The Service and its original content, features, and functionality are owned by AccuSeat LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

360° photographs uploaded by venues remain the property of the respective venue or photographer. AccuSeat is granted a license to display these photographs solely for the purpose of providing the Service.

7. Limitation of Liability

In no event shall AccuSeat LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Seat views are provided for reference only. Actual view may vary due to weather, event setup, or venue changes. AccuSeat does not guarantee ticket sales or specific seating outcomes.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Your continued use after changes constitutes acceptance.

10. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
